You state you are on winxp sp1. Update to sp2 and see if this solves your problem.

Are all other Windows updates installed? If you have been running with sp1 then your OS might be severely out of date and it's another MS update that is missing.

Check for environmental conflicts. Go to START and RUN, type MSCONFIG.NT and click OK. Now click on the SERVICES tab and place a check mark in the small box - Hide MS Services. Now Disable All. Repeat, the Disable All on the STARTUP tab. Reboot and try again.

Rick-could the dll file be corrupted and running a repair on PT would fix things?

As per LauraG's suggestion, you could run the Peachtree program repair from the Peachtree CD, in an additional attempt to correct this problem. From the main menu on the CD, select Modify or Remove program and then select REPAIR from the secondary menu.

first - thank you all for attempts at helping resolve this problem!
1. performed full update to sp1 prior to sp2 upgrade
2. dll is not corrupt [remember, this problem is on 2 pcs]
3. repair of ptree -----> no luck
4. i'll explore service conflicts in more detail
as of right now -------> unresolved!

You state you "performed full update to sp1 prior to sp2 upgrade". Have you gone back in and done all the updates that go with sp2?

Did you disable any and all Firewall software, Anti-Virus and Anti-Adware software before installing this software? Did you experience any error messages during the installation of the program, that may have been ignored?
Have you attempted to load the Peahtree program on a third computer as a stand alone program?

Adjust the Windows CONFIG.NT file statement to read FILES=199 versus the default setting of FILES=40. Go to START - RUN and type CONFIG.NT, open this file using NOTEPAD.
Did you update and run your Anti-spyware /adware, Virus Checker etc.?
Have you disconnected Peachtree from the network and attempted to run the software locally? This would help to remove any network related possiblities from the equation here. Since you stated that the problem persists on two computers, and the common element here is Peachtree and the network. So, you need to remove one of these two elements as the source of the problem.

already had files=199 in config.nt
tried running as stand alone --> same crash
set selective startup in msconfig [barebones] --> same crash
for the fun of it, loaded virtualpc 2004. set up an XPSP1 virtual machine and...
IT RUNS FINE! a tad slow, but it runs.
i'm suspecting an inscrutable hardware driver conflict. it's an old pc, athlon tbird 1gig, promise ata133 pci ide controller [off mboard, special drivers]. i had a heck of a time just getting xp loaded on this puppy [not in virtualpc 2004 though, uses standard virtual hw drivers]! i *am* certain of one thing, sage tech will never resolve this issue!
